Processors and motherboards which one?

Processors
AMD AMD® Boxed Phenom II X4 Quad-Core Processor 940
or
AMD® Boxed Phenom X4 Quad-Core Black Edition Processor 9950
 
Motherboards: shouldn't matter - same chipset. Just look at the other features and it's personal preference beyond that.

Processors: I'd go with the 940, just because it's newer. The performance difference is really quite small. I'm not even sure the 9950 is available for AM3, is it?!? I thought it's the Phenom II only.
 
been using ASUS for years; BIOS is easy to work around only thing that I don't like is where they locate SATA ports; cards now days being so long it blocks a couple. As for the processor hands down the 940.
 
Gigabyte is no less nice than Asus, from what I've read - plenty of overclockability, solid performance, from what I've read... don't choose purely on brand name imo.

Personally, I've been using DFI for a while, and based on my experience I'll be using DFI for the future... it caters to overclockers and enthusiasts heavily so it's not very user friendly necessarily so unless you enjoy fiddling with detailed settings in the bios I don't necessarily recommend it.
